1. Licence grant
While your relevant entitlement is active, NetLabs.club grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access or install the authorised quantity of the relevant tool and use it for your own internal personal or business purposes.
2. Account, user and device limits
Access may be restricted by account, user, device, licence quantity, concurrent sessions, metered units or usage limits. A desktop licence may bind to a device and may have a transfer cooldown. You must not share keys, sessions or access with unauthorised people.
3. TradeLink activation and eligibility
A TradeLink licence may remain pending until membership entitlement, the required data-sharing acknowledgement, affiliate eligibility and activation authorisation are present. Activation codes are single-use, may expire and do not create entitlement by themselves. Eligibility, payment, security or policy changes may suspend or revoke a licence.
4. Restrictions
Except where applicable law expressly prevents a restriction, you must not:
- copy, sell, rent, lease, sublicense, publish, redistribute or make a tool available as a service bureau;
- reverse engineer, decompile, disassemble or derive protected source code, models or non-public logic;
- circumvent authentication, device binding, licence checks, metering, rate limits, obfuscation or security controls;
- systematically collect inputs or outputs to reconstruct a protected model or build a competing product;
- remove warnings, proprietary notices or attribution;
- use a tool unlawfully, maliciously or to interfere with another system or user.
5. Ownership
NetLabs.club and its licensors retain all rights in the software, compiled and source code, models, user interfaces, documentation, branding and updates. No ownership transfers to you.
6. Updates and supported versions
We may issue updates or require a minimum supported version for security, compatibility or service operation. An update may change calculations, outputs, file formats or third-party compatibility. You are responsible for testing before live or high-risk use.
7. PropSim desktop operation
PropSim calculations normally run locally on the licensed device. The application may contact NetLabs to validate the account, licence, installation ID, version and entitlement status. The licence service is not a guarantee of uninterrupted availability, and reasonable cached access may be implemented by the application subject to the published client rules.
8. Third-party and open-source components
A tool may include third-party or open-source components governed by separate licences. Those licences apply to the relevant components. External platforms, brokers, data and cloud services are governed by their own terms.
8. Availability and technical controls
Tools may require internet access, API availability, supported devices or third-party platforms. We may use authentication, telemetry necessary for licensing and security, device identifiers, rate limits and audit records as described in the Privacy Policy.
9. Suspension and termination
The Licence ends when the related entitlement ends. We may suspend or terminate it for non-payment, material breach, unlawful use, security risk, affiliate ineligibility, fraud or circumvention. On termination, stop using and, where applicable, remove the software.
10. Your data
You retain ownership of lawful data you submit. You permit NetLabs and its processors to handle it only as reasonably necessary to provide, secure, support and improve the service, enforce the agreement and comply with law. Do not upload data you are not authorised to use.
11. Risk and responsibility
Tools are subject to the trading, simulation, integration and third-party risks in the Terms and Risk Disclosure. You remain responsible for configuration, verification, monitoring, safeguards and all decisions made using a tool.
12. Consumer rights
Nothing in this Licence removes rights that cannot lawfully be excluded, including applicable rights concerning digital content and services. Where a defect gives you a statutory remedy, those rights continue to apply.
13. Governing terms
If this Licence conflicts with a specific written enterprise agreement, that agreement controls only for the covered service. Otherwise the NetLabs Terms & Conditions govern, including liability, cancellation, complaints and governing law.
