1. Who we are and how to contact us
NetLabs.club is the service operator and contracting party for the website, memberships and tools described in these Terms. References to “NetLabs”, “we”, “us” and “our” mean NetLabs.club. Our website is netlabs.club. Contact us at support@netlabs.club.
2. Scope and acceptance
These Terms govern your use of NetLabs websites, accounts, memberships, trials, TradeLink, the PropSim Prop Firm Profit Planner, simulations, desktop downloads, licence services, APIs, emails, reports and related services. The Software and Web Tools Licence, Risk Disclosure, Privacy & Cookie Policy and any checkout-specific terms form part of your agreement with us.
By creating an account, starting a trial, purchasing a membership, downloading or using a tool, or otherwise using a NetLabs service, you agree to the version presented to you. Where we require a checkbox or electronic acceptance, you confirm that you have read and agree to the relevant documents.
3. Eligibility
You must be at least 18 and legally capable of entering into a contract. If you act for an organisation, you confirm that you have authority to bind it. You must provide accurate information and keep your account and billing details current.
4. What NetLabs provides
NetLabs provides educational content, software and operational tools concerning trading psychology, prop-firm planning, simulation, hedging workflows and account administration. NetLabs is not a broker, prop firm, investment manager, financial adviser, tax adviser, legal adviser or custodian, and does not hold or manage customer trading funds.
5. No financial advice or guarantee
Content, calculations, simulations, examples, expected values, optimiser results, probability estimates and software outputs are general educational or operational information. They are not a personal recommendation or an invitation to enter any investment, trade, hedge, funded-account evaluation or financial transaction.
You remain responsible for your decisions, third-party rules, position sizing, monitoring, safeguards and professional advice. Past, hypothetical and simulated results do not predict future results.
6. TradeLink
TradeLink may copy, transform or assist with orders between compatible third-party systems. Latency, symbol mapping, lot sizes, contract specifications, platform state, connectivity, market conditions and third-party execution may cause rejected, duplicated, partial, delayed, unintended or unhedged positions. Test the configuration in a demo or appropriately limited environment before live use and maintain independent exposure and loss controls.
TradeLink may be used from any country where your own use is lawful and where you can access compatible platforms and brokers. References to a particular broker or affiliate are optional commercial or eligibility arrangements and do not mean TradeLink is unavailable elsewhere.
7. PropSim Prop Firm Profit Planner
PropSim is a mathematical model. Results depend on inputs, assumptions, rules, random seeds, data, rounding and software version. The model may simplify or misinterpret a third party’s rules and may contain defects or stale data. You must independently verify all material inputs and outputs.
Optimisation may overfit assumptions and identify settings that perform well only within the chosen model. A pass-rate, risk-of-ruin, profit, payout or hedge estimate is not a promise of a live result.
8. Accounts and security
You are responsible for safeguarding login credentials, licence keys, devices and recovery methods. Notify us promptly of suspected compromise. You must not share an account or licence beyond its authorised scope, sell or transfer access, create duplicate accounts to avoid limits, or use another person’s account without authority.
9. Memberships, entitlements and licences
Your plan determines available products, features, usage limits and licence quantities. Access may also arise from a trial, complimentary grant or direct entitlement. The member dashboard records your current effective access.
A TradeLink membership entitlement and a usable licence are separate. A licence may remain pending until required affiliate eligibility, data-sharing acknowledgement and activation authorisation are complete. A code does not create membership entitlement by itself.
10. Affiliate eligibility and data sharing
TradeLink may require current eligibility for a relevant affiliate arrangement. When you start a TradeLink-qualifying paid membership or trial, you may be required to acknowledge the TradeLink Affiliate Eligibility and Data-Sharing Notice. This acknowledgement is not required merely to create a free general NetLabs account.
Eligibility may be checked initially and periodically. A licence may be pending, suspended or revoked where eligibility cannot be confirmed, expires or is withdrawn. Ordinary NetLabs services remain separate unless their own entitlement also ends.
11. Credits and usage limits
PropSim is supplied as licensed desktop software. It may require an internet connection for first activation and periodic licence validation. The current PropSim desktop application does not use purchasable simulation credits. NetLabs may use metered units or credits for other tools, in which case the applicable allowance, price, expiry and refund terms will be shown separately.
We may apply reasonable limits to job size, file size, combinations, simulations, concurrent jobs, execution time, API access and storage to protect security, reliability and fair use.
12. Acceptable use
You must not use NetLabs unlawfully or to harm, disrupt or gain unauthorised access to systems or people. You must not circumvent authentication, licences, device binding, metering, quotas, rate limits or security controls; reverse engineer protected logic except where law expressly permits; scrape protected services; upload malware or unlawful data; or use our systems to infringe third-party rights.
13. Availability, maintenance and changes
Services are provided on an “as available” basis. Maintenance, faults, capacity limits, security incidents and third-party outages may interrupt access. We may update or replace features for security, compatibility, legal or product reasons. We will use reasonable care and skill where consumer law requires it, but do not guarantee uninterrupted availability or compatibility with every broker, prop firm, platform, device or operating system.
14. Prices, subscriptions and renewal
Prices, billing intervals, trial periods and included access are shown before checkout. Paid subscriptions renew automatically at the displayed interval until cancelled. Stripe or another payment provider processes payment details; NetLabs does not store full card numbers.
We may change future prices on reasonable notice. A change does not alter a period already paid. Existing customers may remain on a previous price unless notified otherwise.
15. Private promotional offers
NetLabs may present an account-specific offer after checkout. Such an offer may be limited by a server-controlled deadline, shown only once and unavailable after purchase, expiry or a permanent skip. The checkout page identifies the immediate amount, the promotional access period, the date and amount of later recurring billing, and any product benefit linked to the continuing subscription.
The Elite Founder Upgrade is governed by its specific offer terms. It upgrades the original trial and five additional months to Elite, then keeps the same uninterrupted Elite subscription at the grandfathered $99 monthly founder rate. Cancellation or replacement with a new subscription can end that rate.
16. Trials
A trial is available only where offered and is normally limited to one per account, person, organisation or payment relationship. We may refuse duplicate, automated or abusive trials. Checkout will state when billing begins and how to cancel before the first charge.
17. Cancellation and consumer rights
You can cancel a subscription through the member account area or by contacting support@netlabs.club. Unless checkout or applicable law says otherwise, cancellation stops future renewal and takes effect at the end of the current trial or billing period.
If you are a consumer, you retain all mandatory rights under applicable consumer law. Services and digital content must match their description and be provided with the legally required standard of care. Where a statutory cancellation period applies, you may cancel within that period. If you expressly request immediate service performance, you may be responsible for a proportionate amount already supplied. For digital content, a statutory cancellation right may end once supply begins only where the legally required express consent and acknowledgement have been obtained.
Nothing in these Terms excludes a refund or remedy that the law requires. Chargebacks may result in temporary suspension while we investigate; fraudulent chargebacks may result in termination.
18. Failed payments
If a recurring payment fails, we may provide a payment-recovery period and send reminders. Access may continue temporarily, but the subscription and related licence may be suspended or cancelled if payment is not recovered. Automatic restoration applies only where entitlement, activation and lifecycle rules allow it.
19. Third-party services
Stripe, Google Cloud, email providers, hosting providers, brokers, prop firms, trading platforms, affiliates and other external services operate under their own terms and privacy notices. We do not control their availability, execution, prices, rules, eligibility, payouts, security or decisions. A link or integration does not make NetLabs a party to your agreement with them.
20. Intellectual property
NetLabs and its licensors own the website, branding, software, code, models, interfaces, documentation, text and graphics except where identified as third-party material. Your limited right to use a tool is set out in the Software and Web Tools Licence. Feedback may be used without payment, but we will not publicly identify you without permission.
21. User data and uploads
You retain ownership of lawful content you upload. You grant NetLabs and its processors a limited licence to host, copy, process and transmit it as necessary to provide, secure and support the service, comply with law and enforce these Terms. You confirm you have the right to provide it and that it contains no malware or unlawfully obtained material.
22. Suspension and termination
We may suspend or restrict access where reasonably necessary for security, fraud prevention, non-payment, unlawful activity, material breach, excessive load, affiliate ineligibility or protection of users and systems. Where appropriate, we will explain the outcome and provide a review route. We may discontinue a product on reasonable notice and will provide any remedy required by law for an affected prepaid consumer period.
23. Liability
Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be limited.
For consumers, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care and skill. We are not responsible for losses caused by incorrect inputs, ignored warnings, third parties, market movements or business use of a consumer service, except where law requires otherwise.
For business users, to the fullest extent permitted by law, we exclude indirect or consequential loss and loss of profit, revenue, opportunity, goodwill, data, anticipated savings, trading funds, prop-firm status or third-party contracts. Our aggregate liability for a service in any 12-month period is limited to the fees paid for that service during that period, except where liability cannot lawfully be limited.
24. Complaints, reviews and disputes
Send complaints, eligibility-review requests and billing disputes to support@netlabs.club. Include enough information for us to identify the account or transaction. This does not restrict any statutory complaint, chargeback, court or regulatory right.
25. Privacy
Our handling of personal data is described in the Privacy & Cookie Policy. TradeLink-specific sharing is described in the TradeLink notice. Marketing is optional and can be withdrawn without affecting transactional communications.
26. Changes to these Terms
We may update these Terms for legal, security, product or business reasons. The current version will be published online. We will give reasonable notice of material changes affecting ongoing paid services and may require renewed acceptance.
27. Governing law and general provisions
These Terms are governed by the laws of England and Wales. Consumers retain any mandatory protections and rights to bring proceedings available under the law applicable to them. Business disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
If a provision is invalid, it is limited only to the minimum extent necessary and the remainder continues. Failure to enforce a right is not a waiver. You may not transfer your agreement without our consent. NetLabs may transfer it as part of a reorganisation or sale, provided consumer rights are not reduced.
